QUALITY: NIGERIAN BONNY LIGHT CRUDE OIL OF STANDARD EXPORT GRADE.
a. Seller shall issue Sales & Purchase Agreement with Seller' s full Banking Co-ordinates and with Proof of Product ( POP) to
be confirmed on Shell screen London ( Such confirmation shall not be in the name of the Buyer.) It will only be in the name of
the buyer after ( upon confirmation of the swift BG instrument) the crude oil allocation reassignment and programming on the
Shell Screen in favour of the buyer as the owner and consignee of the month of cargo shipment .
b. Buyer and Seller sign and seal this Contract including banking coordinates and exchange the signed copy by electronic
mail. The electronic signed copy by both Parties is considered legally binding and enforceable and must not be changed.
The executed SPA is lodged in their respective banks
c. Within five ( 5) banking days of B above, the Buyer' s Bank places a Non-Operative StandBy Letter Of Credit by Swift
which would confirm the readiness of the buyer to buy and on/ before the same days of B above the Sellers bank would place
a 2% performance Bond to activate the SBLC of the Buyer.
d. Within five ( 5) banking days of receipt of such readiness
e. Buyer provide Seller the destination ports and storage tank information
f. Seller conduct loading and provide full documentation to the buyer, with the buyer designated as the consignee of the
cargo.
g. Vessel departs for the buyer’ s designation port and provide ETA for the Buyer.
h. Vessel discharge cargo at the designation port after Q & Q is conducted to ascertain the out-turn barrel.
i. Payment is made by immediate SWIFT Transfer within 48 hours of discharge of the cargo and presentation of shipping
documents at the counter of the Seller’ s bank.
j. In the event payment due date falls on a Saturday or a New York banking holiday other than a Monday, then payment
will be effected
l. The Stand by Letter of Credit shall be in the form accepted by the seller and meeting international standard requirements.
m. The SELLER and BUYER each shall be responsible for their own bank charges.
N. INDEMITY CLAUSE: This indemnity is binding on both parties from the date of signing this SPA by both parties by
electronics mailing which is as same as original. Seller and buyer have agreed to pay the sum of united states dollar of five
hundred thousand to by any defaulting party.( $ 500, 000.00) The defaulting would be recorded after five working days after
the exchange of banking instruments.
